Terms of Use

These Terms govern access to the Varox software service. By creating an account or using the platform, you agree to them. If you use Varox on behalf of an organization, you confirm that you have authority to accept these Terms for that organization.


Operator

Varox is operated by an independent operator based in Bulgaria. References to "we", "us", and "Varox" mean the operator of the Varox service unless the context requires otherwise.


The service

Varox is a cloud software service for demand planning, forecasting, delivery planning, and related SKU and inventory analytics. Features may include data import, integrations, planning workflows, reporting, and exports, depending on your plan.

We deliver the platform as software-as-a-service (SaaS): we host the application, apply updates, and operate infrastructure needed to run it. You access Varox over the internet using the interfaces we provide.

We continuously improve and operate Varox as a live cloud service. Features and workflows may evolve over time as reliability, integrations, and planning functionality mature.


License to use Varox

Subject to these Terms and your plan, we grant you a non-exclusive, non-transferable right to use Varox for your internal business purposes during your subscription or free access period. You may not sublicense, sell, resell, or lease access to the platform except as expressly allowed in writing.

We may set fair-use limits (for example on storage, job frequency, or concurrency) to keep the service stable for all customers. If usage is unusually high or impacts others, we may ask you to adjust usage or upgrade your plan.


Accounts and security

You need an account to use Varox. You are responsible for the accuracy of registration information, safeguarding passwords and devices, and all activity under your credentials. Notify us promptly at [email protected] if you suspect unauthorized access.

We may refuse registration, suspend access, or require additional verification where needed for security, fraud prevention, or compliance.

Plans, billing, and changes

We offer free and paid plans. Paid features, limits, and prices are described on our pricing policy and at checkout. Paid subscriptions renew automatically each billing period until you turn off renewal through the billing portal linked from your account (where available) or other cancellation options the subscription billing provider shows at purchase.

Subscription charges are collected by a third-party billing provider acting as merchant of record. That provider handles payment collection, applicable tax treatment at checkout, and buyer receipts or invoices for the transaction. Our current payment provider is Paddle.

Refunds and statutory withdrawal rules are explained in our Refund Policy. Stopping use of Varox without canceling renewal does not automatically stop future subscription charges.

We may adjust plan features, limits, or list prices with reasonable notice where the law or your agreement requires it. If a change materially reduces what you already paid for mid-term, remedies may be described at checkout or in account notices.


Acceptable use

You agree not to misuse Varox. For example, you must not:

  • break the law, infringe others' rights, or upload unlawful content
  • probe, scan, or attack our systems, or attempt unauthorized access to data or accounts
  • interfere with or overload the service, including denial-of-service style behaviour
  • upload malware, exploit vulnerabilities, or bypass technical limits without permission
  • use the service to build a competing offering by systematically copying non-public behaviour or documentation
  • run automated scraping, bulk extraction, or monitoring of the platform except through documented interfaces we expressly permit

We may throttle, suspend, or terminate access for abuse, risk to the platform, or repeated breach of these rules.


Integrations, exports, and connectivity

Depending on your plan, Varox may offer file uploads, exports, APIs, or third-party integrations. You are responsible for credentials, permissions, and compliance on systems you connect. We do not control third-party platforms and are not responsible for their availability, accuracy, or terms.

You must use integrations and exports in line with these Terms and any technical or rate limits we publish. Reverse engineering undocumented endpoints to access the service is not allowed.


Your data and confidentiality

Data you upload or connect remains yours. You grant us permission to host, process, and display that data only to provide and improve the service for you (including support, security, and reliability work). We do not sell your business datasets and we do not use them to train unrelated public models.

We treat your uploaded business information as confidential in line with normal SaaS practice and our Privacy Policy. We may disclose information when required by law, to protect rights and safety, or to enforce these Terms.

You represent that you have the rights needed to submit your data and that doing so does not violate agreements or laws that apply to you.


Processing scope and limitations

Varox processes data you provide for planning and analytics workflows inside the product. We are not your accountant, legal advisor, or logistics contractor. You remain responsible for how you use outputs, for retention categories under law, and for any decisions you make in your supply chain or business.

If you need a formal data processing agreement for GDPR purposes, contact us. Standard self-service terms may be enough for many B2B customers, but we will discuss reasonable addenda where appropriate.


Backups and keeping your own copies

We maintain infrastructure practices intended to protect service data, but you should not rely on Varox as your only archive. Export or download data you need for your records, audits, or disaster recovery. You are responsible for the accuracy and completeness of exports you create.


Forecasts and planning outputs

Forecasts, suggestions, and planning views are produced from your data, configuration, and platform logic. They are decision-support tools, not promises of future demand, supply, or financial performance. We do not warrant accuracy, completeness, or suitability for a particular commercial outcome.

You remain responsible for inventory targets, purchasing, service levels, and any operational or financial decisions you make using Varox. You should validate outputs against your own controls, policies, and on-the-ground constraints.


Our intellectual property

Varox, its software, branding, documentation, and non-public know-how are owned by the operator or its licensors. Except for the limited license above, these Terms do not grant you ownership rights in our IP. Feedback you provide may be used to improve the service without obligation to you, except where restricted by mandatory law.


Evolving product and beta features

Beyond the day-to-day operation described above, we add capabilities, refine workflows, and occasionally retire or replace parts of the product. We try to avoid disruptive changes and give notice when practical, especially for paid customers.

Some capabilities may be labeled preview, beta, or experimental. They may be less stable or change quickly. Use them at your discretion.


Availability and maintenance

We aim for reliable operation but do not promise uninterrupted access. Maintenance, upgrades, internet issues, or third-party outages may cause downtime. Where feasible, we schedule maintenance during lower-use windows and communicate through the product or by email.


Support and communications

Support scope and response expectations depend on your plan. We use your account email for operational messages such as security alerts, billing lifecycle notices, and substantive product changes. Marketing email, if any, stays separate and easy to opt out of. Keep your contact details current so we can reach you about your workspace.

Security

We implement administrative, technical, and organizational measures appropriate to a SaaS product: access control, encryption in transit where standard, monitoring, and vendor diligence. No online service is perfectly secure. You play a critical role through strong passwords, device hygiene, and careful sharing of access.


Suspension and termination

We may suspend or end access if you materially breach these Terms, create security or legal risk, or if we must comply with law. You may stop using Varox at any time. After termination, your right to use the service stops; we may delete or retain data as described in our Privacy Policy and product behaviour at the time.

Export data you need before you lose access. For paid accounts, also cancel renewal through your billing portal so charges do not continue.


Limitation of liability

To the maximum extent permitted by applicable law, Varox and the operator are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising from your use of the service or reliance on forecasts.

Our aggregate liability for claims arising out of or related to the service in any twelve-month period is limited to the subscription fees you paid for Varox in that period (excluding taxes and similar pass-through amounts collected by the subscription billing provider). If you use only a free plan and no fees apply, the cap is one hundred (100) EUR.

Nothing in these Terms limits liability that cannot be limited under mandatory law, including in some cases gross negligence or intentional misconduct.


Changes to these Terms

We may update these Terms to reflect product, legal, or operational changes. We will post the new version on this page and adjust the "Last updated" date. If a change is material and affects your rights, we will provide reasonable notice where required. Continued use after the effective date means you accept the update, except where law requires a different process.


Governing law

These Terms are governed by the laws of Bulgaria, without regard to conflict-of-law rules that would send the dispute to another jurisdiction. Mandatory consumer protections that apply to you despite this choice of law remain unaffected where required.
